Do NOT disclose your password or user name to anybody and NEVER share your age, postal address, personal email address, school or university address, gender on or through our website with anyone but us. GlobalDons Limited will make the effort to block any exchange of personal details between users on our site but it is ultimately the users’ responsibility not to share any sensitive personal information through our site. GlobalDons Limited does not accept any liability for the exchange of personal details between users on its site.

If you are under 18 years of age, NEVER upload a picture or video of yourself on or through our website unless you have the express consent of your parents or legal guardian, which by uploading a picture or video you thereby confirm you have obtained.

I. GENERAL TERMS

 

1. Access to our website

When registering as a registered user (i.e. a Tutor or Student) on our website you hereby warrant that all of the information that you provide is true, accurate and complete. You are not allowed to create more than one account if the purpose of such additional account(s) is to abuse the functionality of our site or to breach these terms.

If we provide you with a user ID, password or any other type of identification security code (password), you must treat such password as confidential, and you must not disclose it to any third party. In case we suspect you have shared such password with an unauthorized third party in breach of these terms, we reserve the right, at any time, to disable such password.

We have the right to change or terminate the services we provide on our site without giving you prior notice and we are not liable if, for any reason, our site is unavailable at any time or for any period.

For technical and / or non-technical reasons, we may, from time to time, restrict access to some parts of our site, or our entire site, to users who have registered with us.

When using our site, including our Forum, Private Messenger or Virtual Classroom (as defined in Section II below) you must also comply with the provisions of clauses 13 to 15 inclusive (our Acceptable Use policy).

Please also note that you, as the user of our website, are solely responsible for making all arrangements necessary to have access to our site, including lawful access to an internet connection, and an up to date internet browser and security software. You are also solely responsible for ensuring that all persons who access our site through your internet connection are aware of these terms, and that they comply with them.

2. IP Rights

The expression “Intellectual Property Rights” refers to all products, services, ideas and concepts that people create. This includes patents, copyright and trade marks (IP Rights). We need to make you aware that, except for the content uploaded by you, we own (or licence) all IP Rights in our website, and in the material published on it.  Those works are protected by copyright laws and treaties around the world. All of our rights are reserved, which means that we are not granting you any licence to commercially exploit them.

You may not, however, use any content downloaded from our website for your own commercial benefit, unless we, or our licensors, grant you a specific right to do so. GlobalDons will not be held liable for any infringement of IP Rights by a Student of Tutor materials made accessible by such Tutor through our website, PM or VC (as defined below).

In the event that you are in breach of these terms, we reserve the right to cut you off and / or ask you to return or destroy any copies of material or content downloaded from our website.

 

3. Relying on Information Posted on our website

Any content posted on our website be it commentaries, opinions, study materials, lecture outlines etc. is not meant to be advice of any kind and should therefore not be relied upon.  We, therefore, disclaim any and all liabilities arising from any reliance placed on such materials by any visitor to our site, or by anyone who may be informed of any of its contents.

 

4. Changes to our site

We reserve the right to change the content and layout of our site (including these terms) at any time without notice. However, some of the content may be outdated and we disclaim any liability with regards to any reliance placed on such content. Please also note that we may suspend or close our site indefinitely without having to tell you beforehand.

 

5.Exclusions

The content provided on or through our website (including but not limited to written, video or audio lectures, tutorials and workshops) is supplied without any guarantees, conditions or warranties as to its accuracy and to the maximum extent permitted by law, we, together with any third parties connected to us, hereby expressly exclude:

  • All representations, warranties and conditions, which may be implied by statute, common law or equity.
  • Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our site or the content of any lectures, tutorials, workshops etc. or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it, including loss of income or revenue; loss of business; loss of profits or contracts; loss of anticipated savings; loss of data; loss of goodwill; wasted management or office time; and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above.

This does not affect our liability for death or personal injury arising from our negligence, or our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, or any other liability which cannot be excluded or limited under applicable law.

Please also note that the views expressed on our site by unregistered users, Tutors and Students are theirs and are not necessarily shared by us. We therefore are not responsible for the content of any information communicated on or through our website.

 

6.Visiting our site and information we collect

We collect and process information about you and your visit strictly in accordance with our Privacy Policy.  By browsing and using our site, you consent to such processing and you warrant that all data provided by you is true, accurate and complete.

 

7.Uploading content to our site

When you upload content to our site, or if you contact other users of our site, you must do so in compliance with our Acceptable Use policy (clauses 13 to 15 inclusive) and these Terms and Conditions.  By uploading to our site, you also warrant that any such contribution does comply with those standards, and, you hereby agree to indemnify us in full for any breach of that warranty.

Please remember that any material you upload to our site will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose. We also have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

We will not be responsible, or liable to any third party, for the content, reliability, integrity, legality or accuracy of any content or materials posted by you or any other user of our site.

We reserve the right to remove any content or post you make on our site if, in our sole opinion, such content or post does not comply with our Acceptable Use policy.

 

8. Viruses, hacking and other offences

You may not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, you are committing a criminal offence. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.

 

9. Linking to our site

Feel free to link your website or blog to our homepage, but this must be done in a way that is fair and legal and does not damage our reputation or take advantage of it. Do not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

Also, do not establish a link from any website that is not owned by you.

Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in our Acceptable Use policy (clauses 13 to 15 inclusive).

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only.  We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

These terms may be updated from time to time. You accept sole responsibility to check this page regularly to take notice of any changes we have made.

 

13. Prohibited uses

You may use our site only for lawful purposes.  You may not use our site:

  • In any way that breaches any applicable local, national or international law or regulation.
  • In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
  • For the purpose of harming or attempting to harm minors in any way.
  • To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards (see clause 14 below).
  • To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).
  • To knowingly transmit any data, send or upload any material that contains viruses, trojans, worms, time-bombs, keystroke loggers, spyware, rootkit, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
  • To conduct any automated data collection in relation to users or the services provided by us including but not limited to data mining or harvesting.

You also agree:

  • Not to reproduce, duplicate, copy or re-sell any part of our site or content downloaded through our site in contravention of the provisions of our terms of website use.
  • Not to access without authority, interfere with, damage or disrupt:
  • any part of our site;
  • any equipment or network on which our site is stored;
  • any software used in the provision of our site; or
  • any equipment or network or software owned or used by any third party.

 

14. Content Standards

These content standards apply to any and all material which you contribute to our site (contributions), and to any interactive services associated with it including Virtual Classroom and Private Messaging provided by us.

You must comply with the spirit of the following standards as well as the letter. The standards apply to each part of any contribution as well as to its whole.

Contributions must:

  • Be accurate (where they state facts).
  • Be genuinely held (where they state opinions).
  • Comply with applicable law in the UK and in any country from which they are posted.

 

Contributions must not:

  • Contain any material which is defamatory of any person.
  • Contain any material which is obscene, offensive, hateful or inflammatory.
  • Promote sexually explicit material.
  • Promote violence.
  • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
  • Infringe any copyright, database right or trade mark of any other person.
  • Be likely to deceive any person.
  • Be harmful to minors.
  • Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
  • Promote any illegal activity.
  • Be bullying or predatory in nature.
  • Be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety.
  • Be likely to harass, upset, embarrass, alarm or annoy any other person.
  • Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.
  • Give the impression that they emanate from us, if this is not the case.
  • Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

 

15. Suspension and Termination

We will determine, in our discretion, whether there has been a breach of these terms through your use of our site.  When a breach of this policy has occurred, we may take such action as we deem appropriate. 

Failure to comply with these terms and in particular this Acceptable Use policy, constitutes a material breach of the terms of use upon which you are permitted to use our site, and may result in our taking all or any of the following actions:

  • Immediate temporary or permanent withdrawal of your right to use our site.
  • Immediate temporary or permanent removal of any posting or material uploaded by you to our site.
  • Issue of a warning to you.
  • Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
  • Further legal action against you.
  • Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

We exclude liability for actions taken in response to breaches of these terms.  The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.

 

  1. Applicable Law and Jurisdiction

The courts of England and Wales will have exclusive jurisdiction over any claim arising from, or related to, a visit to our site although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country. 

These terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

 

II. TUTORS AND STUDENTS’ SPECIAL TERMS

 

Definitions applicable to this section are as follows:

Personal Information” means any information that can identify an individual. Such information includes (but is not limited to), name, postal or email address, date of birth, IP address, name of school, university, employer or organisation to which an individual belongs.
Private Message” or “PM” means a private onsite email messaging service between Tutors and Students provided by us.
Student” means a registered user having correctly registered as a student and using the website for the purposes of receiving tuitions.
Tuition” means a virtual classroom session between a Student and a Tutor using the GlobalDons virtual classroom system.
Tutor” means a registered user having correctly registered as a Tutor with us.
Virtual Classroom” or “VC” means the integrated video, voice over IP, digital whiteboard and instant messaging service provided by us to enable video tutorials between Tutors and Students.
Scheduled Tutorial” means a tutorial which is scheduled to be held at a later time between student and tutor.

 

1. Students’ Obligations

The obligations of Students in relation to the services provided on our website are designed for the protection of the Student and the smooth running of the Tuitions. In addition to the general obligations contained in the general terms, when using the Tuition services, Students shall:

 

  • Promptly provide the Tutor with all requested information in order for the Tutor to timely and professionally deliver it’s Tuition;
  • Notify the Tutor as soon as practicable of a cancellation of a Tuition;
  • Carefully assess the suitability of a Tutor before booking a Tuition with such Tutor;
  • Only contact the Tutor via VC, PM or any other communication tools provided by us from time to time. All other means of communications are prohibited;
  • Not publish any abusive, defamatory or derogatory material about a Tutor on our website or elsewhere.

 

If you, as a Student, decide to share your Twitter account details with GlobalDons, you hereby expressly agree for us to automatically Tweet your registration to your Twitter network.

 

2. Student’s Warranties

By registering as a Student on our website and by using our website as such, you hereby warrant that:

 

  • You are 13 years of age or more. If you are under 13, you can only participate in Tuitions accompanied by a parent or legal guardian;
  • If you are a minor, your legal guardian or parent has read and accepted these terms on your behalf;
  • You will not provide the Tutor with any Personal Information before, during or after a Tuition;
  • You will comply with all applicable laws and regulations;
  • You are responsible for assessing the suitability of the Tutor before engaging such Tutor and by requesting a Tuition you acknowledge that the Tutor is suitable for your needs; and
  • The details you give GlobalDons are true, accurate and complete.

 

3. Registration as a Tutor

By registering on our website as a Tutor you agree to be bound by these special terms in addition to the above general terms of use.

Please note that we have the absolute discretion in granting you access to our website and to decide whether you qualify as a Tutor for the purpose of providing Tuitions. Please also note that your qualification as a Tutor on our website may be revoked at any time without notice or reason.

If you decide to share your Twitter account details with GlobalDons, you hereby expressly agree for us to automatically Tweet your registration to your Twitter network.

 

4. Tutors’ Obligations

In delivering the Tuitions and, more generally, when using our website as a Tutor, you agree to comply with all reasonable operational requirements directed by us in accordance with these terms and you further agree:

 

  • Upon receipt of a Tutorial request by a Student, to use your best efforts to find a suitable time slot to deliver such Tutorial;
  • Only to start a Tutorial upon authentication from us that the Tutorial is confirmed and that sufficient funds are available in the Student’s account to cover payment of such Tutorial (including our fees). You acknowledge that we cannot be held liable for any loss suffered as a consequence of any delay in the notification of such confirmation;
  • To prepare the Tutorial and any relevant materials in accordance with the Student’s instructions and expectations with all due care, skill and ability expected from a qualified tutor in the best interest of the Student;
  • To deliver your Tutorial in a timely manner with all due care, skill and ability expected from a qualified tutor in the best interest of the Student;
  • To advise us as soon as practicable of any dispute between yourself and a Student. You will be solely responsible for the resolution of a dispute with your Students; and
  • Notify Your Student as soon as practicable in the event you are unable to deliver a Tuition.

 

5. Tutors’ Warranties

By registering as a Tutor on our website and by using our website as such, you hereby warrant that:

 

  • You are at least 18 years of age and have the necessary qualifications, expertise  and/or experience to deliver professional tutorials;
  • Your are not and have never been subject to a direction under Section 142 of the Education Act 2002;
  • Your name does not appear on the Violent and Sex offenders Register (under the Sexual Offences Act 2003), the Protection of Children Act 1999 list or the POVA list under the Care Standards Act 2000;
  • You are the legitimate owner or licensee of the course content and material you submit to Students via our website. You agree to indemnify us for any loss suffered as a consequence of a breach by you of third party intellectual property rights;
  • You only contact and will only contact Students via VC, PM or any other communication tools provided by us from time to time. All other means of communications are prohibited;
  • You are not an employee or agent of GlobalDons Limited and you are solely responsible for the computation and payment of your own income tax, national insurance contributions and any other applicable tax liabilities; and
  • You will act in compliance with all applicable laws, regulations and codes of conduct applicable to the services you provide through our website.

 

6. GlobalDons Tutor Vetting Procedure

GlobalDons will require registering tutors to submit three forms of documentation on their site for vetting purposes:

  • A CV to outline their credentials.
  • Relevant certificates to verify stated qualifications on the GlobalDons site.
  • A CRB / DBS / International equivalent check to verify their criminal record.  

Whilst submission of the above documentation is not mandatory, it allows GlobalDons to confirm to students on the site if the tutor has provided GlobalDons with proof of qualifications and a criminal record history.

The tutor will have one week from date of registration to provide the aforementioned documents to GlobalDons. During this period, GlobalDons will mark their profile as “Pending” in the fields which say “Proof of Qualifications?” and “CRB/DBS (equivalent) certificate?”. If they provide the above documents within the one week period, both of these fields will be marked as “Verified.” If the tutor does not provide these documents within the one week period, both of these fields will be marked as “Not Verified.”

In cases where either one or both of these fields is marked as “Not Verified,” GlobalDons will change the field(s) to “Verified” if the tutor subsequently provides them with the relevant vetting documentation (outlined above) for that field.

 

7. Tuition Payments

Payment for a Tuition will be debited in full at the end of such Tuition from the Student’s GlobalDons account. Students must therefore make sure to have enough credit available to cover the full length of such Tuition.

The charge for each Tuition will be calculated in accordance with the duration of such Tuition and the Tutor’s Rate. This will be calculated automatically and the Student’s account will be debited accordingly. In the event a Student has not enough credit to cover the full length of the Tuition, a message will appear on the Student’s screen alerting him/her of this and prompting the Student to top-up his/her account. In the event the Student has not enough credit to cover the full length of the Tuition, the Tuition will stop when credit runs out.

The Tutor will be paid for delivered Tuitions after deduction of our 14% service fee (the “Service Fee”). GlobalDons reserves the right to change such Service Fee at any time without prior notice.

 

8. Refund

Refunds are only available for Students in relation to paid Tuitions. A Student may only request a refund from GlobalDons in connection with a Tuition that was not delivered properly as a consequence of a Technical Fault.  For the purpose of this clause, Technical Fault means any material failure of our Private Message or Virtual Classroom to operate in delivering a tuition from start to finish in an audible and comprehensible way. A Technical Fault does not include any fault as a consequence of the quality of the Student’s or Tutor’s slow or defective internet connection or any other technical issues outside the scope of GlobalDons.  

In order to be considered for a refund, such a request must be made no later than 72 hours after the Technical Fault happened. The request must be completed and submitted on the “Contact Us” page.

On receiving the refund request, GlobalDons will investigate into such issue and decide whether it constitutes a Technical Fault. GlobalDons' decision is final.

Responsibility for the quality of the teaching material and content of the Tuition lies with the tutor. The decision to proceed with a refund for reasons of poor content, quality or delivery of the Tuition or its supporting material is a matter to be agreed between the Student and Tutor. GlobalDons accepts no liability for the outcome of such a decision.

 

9. Scheduling Policy

If a student / tutor wishes to schedule a tutorial with another student / tutor, they may independently contact them on PM or use the “Contact Us” form on the website to inform GlobalDons. In the case of the latter, GlobalDons will inform the other party to the tutorial of the scheduled tutorial. In the “Contact Us“ form, the scheduling party must provide details of:

 

  • The scheduled time of the tutorial. This time must be expressed in UK time.
  • The username of the party with whom they were going to hold the tutorial.
  • The subject that the tutorial was for.

 

10. Cancellation and “No Show” Policy

If a student / tutor wishes to cancel a scheduled tutorial that they were expecting to attend, they must use the “Contact Us” form on the website to inform GlobalDons of this. GlobalDons will inform the other party to the tutorial of such a cancellation request. In the “Contact Us“ form, the cancelling party must provide details of:

 

  • The scheduled time of the tutorial. This time must be expressed in UK time.
  • The username of the party with whom they were going to hold the tutorial.
  • The subject that the tutorial was for.

 

The cancelling party must provide a minimum of 24 hours notice prior to the commencement of the tutorial.

If the cancelling party fails to provide the minimum notice to the other party prior to the tutorial’s commencement, the other party can report the cancelling party to GlobalDons, stating the reporting reason as “Cancellation with insufficient notice.” If a cancelling party gets reported three times to GlobalDons for this reason, then their account will be terminated by GlobalDons.

GlobalDons can only officially document an instance of a cancelling party’s cancellation with insufficient notice, where the scheduled tutorial has been organised using the “Contact Us” form on the GlobalDons website. GlobalDons will take no action on a cancellation with insufficient notice, if the originally scheduled tutorial was independently organised on PM between the student and tutor.

 

11. Refund of Deposits

All money spent by students to top up their credit balance on the GlobalDons site is non-refundable. This includes but is not limited to, instances where a student wishes to cancel their membership with the site.

 

12. Dormant Accounts

Accounts on the GlobalDons site which are unused for a period of 12 months or more will be deemed to be “dormant” and closed. In the case that the “dormant” account contains unused tutorial credits, the unused monetary balance will be credited to the account of GlobalDons and then the account will be closed.
